Charity merger: National Childbirth Trust

We advised the National Childbirth Trust on its merger with the Midwives Information and Resource Service (MIDIRS)

We advised the National Childbirth Trust on this merger including negotiating and concluding a framework merger agreement. Via the merger agreement, NCT became the sole member of MIDIRS but an independent MIDIRS Board remained in place. The merger agreement provided a framework to work towards a full merger. The full merger was completed by 2014 on which our team of lawyers:

• dealt with lease renewal of the MIDIRS premises
• advised on TUPE transfers
• prepared a transfer agreement for the assets and activities of MIDIRS to NCT
