CMA guidance on the review of NHS mergers: Consultation document
On 9 May, the Competition and Markets Authority (CMA) published a consultation document on how it will review NHS mergers involving Foundation Trusts.
The consultation document clarifies UK merger rules in the context of mergers involving at least one Foundation Trust provider in England. These include acute, community, mental health and ambulance trusts. It does not cover NHS Trust to NHS Trust mergers, or mergers involving general practitioners, dentists and pharmacies.
The consultation document sets out the CMA’s procedural and substantive approach, including the CMA’s approach to:
- pre-notification dialogue
- whether a transaction meets the jurisdictional thresholds for review
- the substantive assessment of competition within the NHS provider market
- the assessment of relevant patient benefits.
The consultation closes on 20 June 2014 and Hempsons will be liaising with our clients to submit a response to the consultation.
