Baxendale, specialist management consultancy, and Hempsons, leading charity and social enterprise solicitors are delighted to announce the first in a new programme of merger webinars focused on charities and not-for-profit organisations. Together, we will be sharing our knowledge and experience of a wide range of factors relating to not-for-profit mergers. So, whether you just want to explore merger as a tool to support your growth and social impact ambitions, or you are actively pursuing a specific opportunity, these webinars will improve your ability to approach mergers in a structured way.
The programme has been split into two separate sessions. The sessions can be attended individually, although we would encourage delegates to attend both sessions to get maximum value. The programme has been designed for not-for-profit board members, charity trustees, and senior executives. The sessions assume no former knowledge, so are suitable for those new to merger or for the more experienced who want a refresher.
Our aim is to provide practical advice to help improve your ability to look at mergers from a strategic perspective, and to understand how mergers works in practice.
The programme will cover:
- Session One – Why consider merger?
We will explore mergers as a tool to support the delivery of strategic objectives and consider some of the constraints and challenges that not-for-profits often face. We will also outline an open and transparent approach to exploring and resolving key issues with your potential merger partners.
- Session Two – What does a merger process look like?
This session will focus on the process from the point at which a decision in principle has been made to merge with another not-for-profit. We will provide practical tips to make the process more manageable, focusing on structuring the merger, due diligence, good stakeholder management, board approvals, filing and regulatory aspects as well as post-merger integration.

The sessions will be presented by Jim Brooks, Head of Mergers & Acquisitions at Baxendale and Ian Hempseed, Head of Charities and Social Enterprise at Hempsons; along with members of their teams. Jim is a Chartered Management Accountant, who holds an MBA and has more than 20-years of experience advising on corporate and not-for profit mergers. Ian is a charity and corporate lawyer who has similarly more than 20-years experience with not-for-profits in the field of mergers, restructuring and governance.
