• Improvement Foundation Limited: The Improvement Foundation (IFL) was formed when the National Primary Care Development Team left the Department of Health to set up as a private Company. The IFL engaged Hempsons’ corporate team to advise on corporate governance, the appropriate corporate vehicle and acquisition of the business, assets and staff from the Department of Health. Subsequently, it has entered into numerous joint ventures in the healthcare sector. We continue to advise IFL on all its corporate requirements.
• Dental acquisitions and sales: The corporate team handle a considerable number of acquisitions and sales of dental practices, having specialist knowledge of GDS and PDS contracts. We structure these transactions to ensure that these key contracts transfer to the acquirer.
• Midget and Sprite Club of Great Britain: Hempsons handled the incorporation of this national club of motor enthusiasts, including the dissolution of the existing members club and the transfer of all business, assets and membership to a limited liability company.
• Information Dynamics Limited: The Information Dynamics Group, based in Leeds, was structured as a number of subsidiaries under a plc. It engaged the corporate team to re-register the holding company as a limited company and to then carry out a complex reorganisation to separate out the subsidiaries into stand alone companies and to deal with the complex lending and security net.
• Manchester Academic Health and Science Centre Joint Venture: We acted collectively for four out of the six joint venture parties coming together to successfully win accreditation as one of only five Academic Health Science Centres in the UK. The joint venture was set up to improve the delivery of healthcare services in the Manchester region and beyond.

  Comment: The joint venture has been described as having the potential to compete globally with established centres such as those in the United States, Canada, Singapore, Sweden and the Netherlands.
