  • Go-Sim Limited: GO-SIM is a leading global provider of prepaid SIM cards and services that enable leisure and business travellers to use their mobile phones abroad at prices they can afford.  It engaged the corporate team to secure financing from a venture capital fund in three separate phases over a period of 2 years.
  • Financial Promotions: We advised a private company seeking to raise equity funding on the application of the Financial Promotions regime under the Financial Services and Markets Act 2000 and structuring the offer document to come within the exemptions in the Financial Promotion Order.
  • Foundation Trust Facility agreements: We regularly assist NHS Foundation Trusts on their multi-million pound working capital facilities, with banks or the Secretary of State, negotiating the terms of those facilities and providing formal opinion letters in relation to them.
  • LIFT schemes: We are currently reviewing, advising on and negotiating the finance documentation on five LIFT (Local Improvement Finance Trust) schemes. These typically involve a complex bank facility and security net over all the companies in the LIFT group (including syndicated finance arrangements) and ancillary equity or loan subscriptions.
  • Financial Services Compensation Scheme: Following the Administration of the UK arm of an Icelandic bank, we acted for an NHS Foundation Trust (FT) in reviewing the terms of the deposits with that bank, advising on eligibility to claim compensation from the Financial Services Scheme (in the context of the Treasury Announcement to provide full compensation to all “retail” investors), drafting an application on behalf of the FT and representing it at meetings with the FSCS and its lawyers. The FT subsequently recovered all the sums deposited.
