Community health services for local people

Central Essex Community Services Essex CIC is a social enterprise which delivers community healthcare services to its local population in mid Essex and beyond.  The CIC was set up by a group of NHS Mid Essex staff on 1 April 2011 under Right to Request. We advised on the transfer of staff and assets from NHS Mid Essex to the new social enterprise organisation.

Central Essex Community Services deliberated for some time before choosing our legal services. We had to deal with extremely complex issues in moving a large health provider out of the NHS with contracts both with the NHS and with the private sector. I am so glad we chose Hempsons, they did what they said they would do and made it seem easy.

Health and care services for people with mental health needs and learning disabilities

NAViGO provides health and care services free at point of use to the people of North East Lincolnshire on behalf of the NHS, GPs and local authorities. NAViGO has staff and community members who play a role in the governance of the CIC. Savings made by the CIC are used to develop and deliver more services.

So far NAViGO is the only social enterprise set up under Right to Request to deliver mental health services. It became operational on 1 April 2011.  We advised NAViGO on its establishment and the transfer of staff and assets from North East Lincolnshire Care Trust Plus.

We used Hempsons for our preparatory work as a first wave right to request in moving out of the NHS to become a social enterprise.  They were not only prompt and efficient, but met all needs and understood the specific issues we faced as a social enterprise. They also displayed sensitivity to our individual requirements, given the shape and ethical basis of our business.

Personal care services for people needing help and support

Salvere Social Enterprise CIC is a social enterprise set up by former staff of Blackburn with Darwen Borough Council. Salvere matches clients who need help and support with a team of support assistants who can provide it. Clients are people who need support with a variety of everyday tasks, chores and activities. They either have their own money to spend or a personal budget.

Salvere is a Community Interest Company which operates on a mutual basis and is non-profit making. Clients, employed support assistants and independent support assistants can become members of Salvere. We advised Salvere on its establishment and the transfer of staff and other assets from the Council.

As a newly established Social Enterprise CIC and mutual organisation working in the complex area of delivering personalised services in the health and social care sector, Salvere's legal needs have been as diverse as they have been challenging.  Hempsons specialists were able to help us see through these complex challenges, finding and explaining clearly their legal solutions.  When first setting up a company it is possible to feel very vulnerable but the credibility and professionalism of Hempsons provided significant reassurance for us.

Urgent care services in the community for older people

Urgent Care Social Enterprise keeps older Londoners out of hospital and in their own homes where this is safe and sensible. It operates in North East, South East and South London in partnership with other providers – not in competition. Urgent Care was set up by ex-NHS staff in 2007. It is an Industrial and Provident Society with charitable status. Staff are represented on the Board and have access to the NHS Pension Scheme.

We have advised Urgent Care on a range of issues, including its governance structure, the establishment of joint ventures with NHS staff under Right to Request and contracting arrangements with commissioners. 

Hempsons have supported us on governance and contracting matters as well as joint ventures. They also played a pivotal role in helping us to gain access to the NHS Pension Scheme.  Their understanding of the issues faced by social enterprises combined with their legal expertise in health and social care makes them trusted advisers to our organisation.

Urgent Care Social Enterprise 

Primary care services delivered by GPs

MEEBBB CIC is a social enterprise set up by all of the GP practices in the Mile End East and Bromley by Bow Health Network which is one of the Tower Hamlets GP clusters. MEEBBB is currently commissioned by NHS Tower Hamlets to provide primary care services.

MEEBBB is set up to allow members, partners and employees of the practices as well as stakeholder groups and individuals to play a role in its governance and management. We advised MEEBBB on its establishment and contractual arrangements with the PCT.

We were very happy with the expert and efficient service provided by Hempsons in setting up MEEBBB Health CIC.  Hempsons had a comprehensive understanding of our requirements and were very approachable and flexible towards our needs and the short timescales involved.  We were fully supported and felt reassured throughout the process.

Clinical services delivered by a Foundation Trust subsidiary

NHS Foundation Trusts have considerable freedoms to set up subsidiary companies, including as social enterprises. We are currently advising a group of staff operating a clinical service about the establishment of an employee-owned social enterprise as a CIC.

Health and well-being services for the community

The Healthy Living Centre aims to improve the health and well-being of people living and working in Buckinghamshire, by providing a range of community services and activities for residents of all ages.  It is a non-profit making organisation working with more than 20 partners, delivering a variety of programmes and activities in the local communities.

The work of the Healthy Living Centre centres on three themes: Community Development, Health Improvement, and Learning and Skills. Services and activities available to residents include children’s centres and crèche facilities, cafe and outside catering service, meeting rooms and computer suite, together with over 50 activities and services, including parent and toddler groups, benefits and debt service, exercise classes, adult learning classes, healthy walks, stop smoking service, credit union and lots more

We advised the Healthy Living Centre on its transition to becoming an independent social enterprise, including the transfer of staff and assets from NHS Buckinghamshire and contracting with the PCT and local authorities.

We chose Hempsons as our legal advisors for the transition of The Healthy Living Centre from Buckinghamshire PCT to an independent social enterprise in the expectation that their experience and expertise in this specialist area would support us in dealing with complex and diverse issues.

Multi-agency one-stop shop for homeless people

Inclusion Healthcare Social Enterprise CIC is a social enterprise established by staff formerly employed by NHS Leicester City to deliver primary care services for homeless service users. It operates as a multi-agency one-stop-shop for homeless people.

Offering a GP service, drop in centre, outreach and night shelter, the social enterprise offers its clients a range of services. Visiting agencies also provide classes in numeracy and literacy skills for working life, plus computer training, art and home economics sessions.

The CIC is owned by staff members and managed by a GP, a consultant nurse and local stakeholders. Profits generated by the business are re-invested in the business and for community purposes. We advised on the corporate structure of the CIC, its ownership and management arrangements, the transfer of staff and assets to the CIC and contracting arrangements. We also advised on access to the NHS Pension Scheme.
