We have extensive experience of carrying out governance and constitutional reviews which may have identified opportunities for reorganisation in the charity’s structure. This may include help charities to clarify the role of the Trustees, create a smaller and more effective Board of Trustees and to enable the Trustees to exercise greater control over branches.

Our services include governance reports, changes to Memorandums and Articles of Association, preparation of briefing papers for members, drafting required Resolutions, negotiating with the Charity Commission for consent, where required, and if necessary attending general meetings to brief on changes and assist with responding to any queries raised.

Communication of changes to the membership is key to the successful implementation of the restructuring process. We work closely with Chief Executives and Trustees on how to present the changes to the membership and mitigate the risk of dissent or misunderstanding.
