We acted on the acquisition of Lyndhurst Hospital on behalf of SCA Community Care Services Limited.  The transaction was one of the first to reflect the new governance and working arrangements affecting Primary Care Trusts (PCTs) involving the separation of commissioning and provider functions. SCA has acquired the freehold of the site with the benefit of a grant from the PCT. This resulted in more effective use of public funds by devolving the obligation to provide services, principally in the nature of community care, on to SCA. SCA retains the flexibility to re-transfer the property in the event of changed circumstances but also to buy out the restrictions on use.

The deal comprised the acquisition of the freehold, a grant agreement, a lease of the site to an associated company of the client and a leaseback of part to the PCT and an overage deed.  It is intended to build upon the flexibility in the arrangements and to develop the documents for other transactions for replication where the provision of services is undertaken by Social Enterprises.
