We were instructed by the FT to act on its behalf in a complex Joint Venture between the FT and 6 other public sector organisations. The purpose of the Joint Venture was to set up the Manchester Academic Health Science Centre which now has a remit to improve the health and healthcare of the residents of Greater Manchester by attracting inward investment from research commissioners. The corporate team was instructed to advise the FT in relation to the contents of the numerous documents and protect the position of the FT and its investment into the Joint Venture. We also acted collectively for four out of the six joint venture parties coming together to successfully win accreditation for the Centre as one of only five Academic Health Science Centres. Our work involved an interim collaboration agreement, the key constitutional documents for the corporate joint venture vehicle (principally Articles of Association and a Members Agreement) and advising our clients on the regulatory and constitutional requirement or restrictions on becoming a member, which included assistance with preparation of a business case to the Secretary of State for Health.
