Here are some examples of our work with GPs setting up PbC consortia, shadow commissioning consortia and provider companies:

Principia, Partners in Health – a successful PbC social enterprise based in Nottinghamshire. The company is run by a Board which is made up of representatives of local GPs, community service providers and patients. We are currently acting for Principia advising on the establishment of staff-owned social enterprises to take advantage of new business opportunities.

Poplar and Limehouse Health and Wellbeing Network CIC – we advised a group of five GP practices in NHS Tower Hamlet’s area on converting their network for local enhanced service provision into a social enterprise. The new organisation was set up as a Community Interest Company (CIC) to hold a Public Health Training Contract awarded by the PCT.

Godiva PBC – we acted for a group of 45 practices in Coventry on the establishment of a social enterprise to carry out PbC functions. It is set up as a CIC.

Trafford Primary Health Limited - we acted for 33 GP practices in the setting up of Trafford Primary Health Limited which was to be used as the vehicle through which GPs in the Trafford area participated in the Trafford Integrated Care Organisation (ICO).  The organisations involved in the ICO are Trafford Provider Services, University Hospital of South Manchester NHS Foundation Trust and Trafford Healthcare NHS Trust.

Primary Provider Company Ltd – we act for 16 GP practices which are forming a company to provide primary care services. The company will provide services in its own right and in partnership with other organisations. The company is owned by GPs and other staff in a manner designed to ensure access to the NHS Pension Scheme.

Yorkshire joint venture – we acted for a GP practice which entered into a joint venture with an existing GP provider company to collaborate on primary care contracts.  Detailed advice was given on decision-making and exit routes for shareholders.

Greater Manchester Provider Company – we act for a large number of GP practices in the Greater Manchester area which are setting up a provider company to meet the needs of their patients. We are currently advising the GPs on a variety of legal matters including structure, corporate governance and pensions.

London Provider Company - we established a company limited by shares eligible for access to the NHS Pension Scheme, with safeguards in the corporate structure to ensure that shares at all times could only be held by members of the NHS family.  Sixty participating members entrusted the small Board to manage the company on their behalf.
